1. Acceptance of Terms
These Terms of Use (the “Terms”) govern access to and use of agrikultura.com.ph (the “Site”), which is operated by Agrikultura Pilipina Inc. (“Agrikultura,” “we,” “us,” or “our”), a Philippine corporation with its principal office at No. 84 Agrikultura Road, Barangay Tipacan, Lipa City, Batangas 4217, Philippines.
Please read these Terms carefully. By using the Site after being given reasonable notice of these Terms, you acknowledge that your use of the Site is subject to them. If you do not agree, please discontinue use of the Site.
If you submit an inquiry or use another interactive feature that expressly requires acceptance of these Terms, you agree to be legally bound by them.
2. About the Site
The Site is a corporate and institutional website provided for general informational purposes. It describes Agrikultura and its agricultural businesses and brands, including SAREEWÂ, Doowraga Farms and Gattô Dairy Farms (collectively, the “Agrikultura Businesses”).
The Site is intended primarily for prospective partners, institutional stakeholders, researchers and members of the public seeking information about Agrikultura. It does not presently provide e-commerce, online payment, subscription or user-account functionality.
3. Forward-Looking Information
Certain Site content describes Agrikultura's plans, targets, proposed projects, expected capabilities and development objectives. These statements are forward-looking and may relate to businesses, facilities, production capacity or products that are under development and not yet fully operational or commercially available.
Actual development, capacity, production, product availability, timelines and results may differ due to regulatory approvals, financing, construction, biological conditions, market conditions, operating requirements and other factors.
Nothing on the Site constitutes an offer to sell securities, a solicitation of an investment, or a binding offer to enter into a partnership, supply, purchase or other commercial arrangement. Any transaction with Agrikultura or an Agrikultura Business will be governed exclusively by the definitive written agreement executed by the relevant parties. Persons considering a business relationship with Agrikultura should conduct their own due diligence and should not rely solely on Site content.
4. Intellectual Property
Unless otherwise indicated, Site content — including text, graphics, logos, photographs, illustrations, layouts and design elements — is owned by, licensed to, or used with permission by Agrikultura or the relevant rights holder and is protected by applicable Philippine and international intellectual-property laws, including Republic Act No. 8293, as amended.
You may view, download or print reasonable portions of the Site for personal, non-commercial and informational use. You may not reproduce, modify, distribute, publicly display, republish, sell, license or commercially exploit Site content without the prior written permission of Agrikultura or the relevant rights holder.
Nothing in these Terms is intended to restrict any use permitted by applicable law, including fair use.
The names “Agrikultura,” “SAREEWÂ,” “Doowraga Farms” and “Gattô Dairy Farms,” together with their associated logos, trade dress and brand elements, are trademarks, trade names or other proprietary identifiers of Agrikultura or the relevant rights holder. No licence to use any mark is granted merely by access to the Site.
The Site may include AI-assisted or AI-generated illustrative images. Such images are provided solely for visualization and do not depict actual facilities, properties, livestock or completed operations unless expressly identified otherwise.
5. Acceptable Use
You must not:
- use the Site for an unlawful, fraudulent or malicious purpose;
- attempt to gain unauthorized access to the Site, its servers, or connected systems or networks;
- interfere with or disrupt Site operation or introduce viruses, malware or other harmful code;
- use automated means to access or extract Site content in a manner that materially burdens the Site, circumvents access controls, violates applicable law or infringes another person's rights;
- submit false, misleading, fraudulent, unlawful or infringing material through the Site; or
- misrepresent your identity or affiliation when communicating with Agrikultura.
We may restrict or suspend access where we reasonably believe that a person has violated these Terms, compromised Site security or exposed Agrikultura or another person to legal or operational risk.
6. Inquiries and Communications
Information submitted through the Site must be reasonably necessary for the purpose of the inquiry. Please do not submit passwords, financial-account information, government-issued identification numbers, privileged material or sensitive personal information unless Agrikultura has expressly requested it through an appropriate secure channel.
Submitting an inquiry does not create a partnership, agency, fiduciary, employment, supplier, customer or other commercial relationship. Agrikultura is not obligated to accept, evaluate or respond to unsolicited proposals, and no communication is binding unless contained in a definitive written agreement signed by authorized representatives of the relevant parties.
7. Third-Party Links and Embedded Content
The Site may contain links to third-party websites or services and may display embedded content, including Google Maps. These resources are provided for convenience. Agrikultura does not control or endorse them and is not responsible for their availability, content, accuracy, security or privacy practices.
Your use of a third-party website, service or embedded feature is governed by the relevant third party's terms and privacy practices. You should review those terms before using the third-party resource.
8. Disclaimer of Warranties
To the fullest extent permitted by Philippine law, the Site and its content are provided on an “as is” and “as available” basis. Agrikultura makes no express or implied warranty regarding the Site's availability, accuracy, completeness, currency, security, freedom from error, fitness for a particular purpose or non-infringement.
Agrikultura does not warrant that access will be uninterrupted, that defects will be corrected immediately, or that the Site or the systems making it available will be free from viruses or other harmful components. You are responsible for taking reasonable precautions when accessing or downloading online content.
9. Limitation of Liability
To the fullest extent permitted by Philippine law, Agrikultura, the Agrikultura Businesses and their respective directors, officers, employees and agents will not be liable for indirect, incidental, special or consequential loss arising from access to, use of, reliance on, or inability to use the Site, including loss of profits, revenue, data or business opportunity.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, bad faith, gross negligence, willful misconduct, or any other liability that cannot lawfully be excluded or limited under Philippine law.
10. Indemnification
To the extent permitted by applicable law, you agree to indemnify Agrikultura against third-party claims, losses and reasonable expenses directly resulting from your unlawful or intentional misuse of the Site, your infringement of another person's rights through the Site, or your material violation of these Terms.
This obligation will not apply to the extent that a claim results from Agrikultura's own fraud, bad faith, gross negligence or willful misconduct.
11. Privacy
Agrikultura processes personal data collected through the Site as described in its Website Privacy Notice. The Website Privacy Notice is provided for transparency under applicable data-protection law and is available through the Site footer and wherever personal data is collected.
12. Availability, Suspension and Changes to the Site
Agrikultura may modify, suspend or discontinue any part of the Site for maintenance, security, operational, legal or other legitimate reasons. Where reasonably practicable, Agrikultura will seek to avoid unnecessary disruption, but it does not guarantee continuous availability.
13. Governing Law
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws principles. Venue for any action arising directly from these Terms or use of the Site will be determined in accordance with applicable Philippine procedural law.
14. Changes to These Terms
Agrikultura may update these Terms from time to time. Revised Terms will apply prospectively from the effective date stated in the updated version. Where reasonably practicable, Agrikultura will provide prominent notice on the Site of material changes. Changes will not retroactively alter rights or obligations arising before their effective date.
15. Severability; No Waiver
If a court of competent jurisdiction finds a provision of these Terms invalid, illegal or unenforceable, the provision will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in effect.
A failure or delay by Agrikultura in enforcing a provision does not waive its right to enforce that provision or any other provision later.
16. Relationship to Other Agreements
These Terms govern use of the Site. They do not amend, replace or supersede any nondisclosure agreement, supply agreement, employment agreement, partnership agreement or other separately executed contract with Agrikultura or an Agrikultura Business. If a separately executed agreement expressly conflicts with these Terms regarding its subject matter, the separately executed agreement will govern.
